Terms of Service

1. Acceptance of Terms

By accessing or using the Not Therapy website, web application, or related services (collectively, the "Service"), you agree to these Terms of Service and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Accounts

You may use the Service only if you are legally able to form a binding contract and are authorized to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Service Description

The Service is intended to support mental health coaching operations, communication, workflow coordination, and related administrative functions. Features may change over time, and some features may depend on third-party providers or integrations.

4. Important Limitations

The Service is not emergency response software, and it is not a substitute for emergency services, medical care, psychiatric care, psychotherapy, or legal advice. If you believe someone is in immediate danger or experiencing a crisis, call 911, contact emergency services, or reach out to 988 in the United States.

5. Permitted Use

You agree to use the Service only for lawful, authorized purposes.

You must not:

• Use the Service in violation of any law, regulation, or contract.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Interfere with the integrity, security, or performance of the Service.
• Upload malware, harmful code, or content you do not have the right to use or share.
• Use the Service to exploit, harass, abuse, or endanger any person.

6. User Content and Responsibility

You are responsible for the data, messages, files, notes, transcripts, and other content you submit to or generate through the Service ("User Content"). You represent that you have all rights, permissions, and consents needed for your User Content and for our use of that User Content to provide the Service.

7. Privacy

Our collection, use, and sharing of information is described in our Privacy Policy. By using the Service, you acknowledge that we may process information as described there.

8. Third-Party Services

The Service may interoperate with third-party products and services, including identity, database, communications, analytics, and cloud providers. Your use of third-party services may also be governed by those providers' terms and privacy policies, and we are not responsible for third-party services.

9. Intellectual Property

The Service, including its software, design, branding, and other content provided by Not Therapy, is owned by or licensed to Not Therapy and is protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.

10. Suspension and Termination

We may suspend or terminate access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk for any person, compromised the Service, or if we need to do so for legal, security, or operational reasons. You may stop using the Service at any time.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOT THERAPY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, secure, or suitable for every use case.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOT THERAPY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Not Therapy and its affiliates, officers, employees, contractors, and service providers from and against claims, damages, liabilities, losses, and expenses arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.

14. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Updated Terms become effective when posted unless otherwise stated. Your continued use of the Service after updated Terms become effective means you accept the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules, except to the extent applicable law requires otherwise.
